1. Acceptance of Terms

By engaging in any business transactions or utilizing the services of S & B Builders Canada Inc. (“the Company”), you acknowledge that you have read, understood, and agreed to the following Terms and Conditions. These Terms and Conditions constitute a legally binding agreement between the Company and you or the entity you represent.

2. Scope of Services

The Company provides construction services including but not limited to building, remodeling, renovation, and repair work. The specific details and scope of the services will be agreed upon in writing between the Company and the client.

3. Pricing and Payments

a. The pricing for the services will be determined based on the scope of work, materials, labor, and any other relevant factors. The Company will provide a detailed written estimate or quotation for the client’s approval before commencing any work.
b. Unless otherwise specified in writing, all prices are in Canadian dollars (CAD) and are exclusive of applicable taxes.
c. Payment terms will be outlined in the written estimate or contract. The client agrees to make payments promptly as specified, and any delay may result in project delays or additional charges.

4. Change Orders

a. Any changes or modifications to the original scope of work must be agreed upon in writing between the Company and the client. These changes may result in adjustments to the pricing, timeline, or other terms.
b. The client acknowledges that changes requested during the project may incur additional costs and delays, and the Company shall not be held responsible for such delays or cost increases resulting from change orders.

5. Materials and Workmanship

a. The Company will use reasonable skill, care, and diligence in performing the services. The Company will strive to provide high-quality materials and workmanship, consistent with industry standards.
b. Any specific materials, brands, or products requested by the client must be agreed upon in writing, and the client may be responsible for any additional costs associated with such requests.
c. The Company shall not be liable for defects or damages resulting from the client’s choice of materials, products, or designs.

6. Client Responsibilities

a. The client shall provide accurate and timely information required for the completion of the project, including necessary permits, approvals, and access to the property.
b. The client is responsible for securing and protecting their property, valuables, and personal belongings during the project. The Company shall not be held liable for any loss, damage, or theft of the client’s property unless due to the Company’s negligence.
c. The client agrees to cooperate with the Company, its employees, and subcontractors, and to provide a safe and suitable working environment.

7. Project Timeline

a. The Company will provide an estimated start date and completion date for the project, but these dates are subject to change due to unforeseen circumstances, including weather conditions, availability of materials, or other factors beyond the Company’s control.
b. The Company will make reasonable efforts to complete the project within the agreed timeline. However, the client acknowledges that construction projects may encounter unexpected delays, and the Company shall not be held liable for any resulting damages or losses.

8. Termination

a. Either party may terminate the contract for any reason upon providing written notice to the other party. In such cases, the client shall be responsible for payment of all services rendered and expenses incurred up until the termination date.
b. In the event of termination, the client shall compensate the Company for any outstanding costs, including but not limited to materials, subcontractor fees, and any reasonable costs associated with the project’s suspension or cancellation.

9. Limitation of Liability

a. The Company shall not be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with the services provided, including but not limited to loss of profits, loss of data, or loss of business opportunities.
b. The liability of the Company for any claim or damages shall be limited to the total amount paid by the client for the specific services rendered.

10. Governing Law and Dispute Resolution

a. These Terms and Conditions shall be governed by and construed in accordance with the laws of the province of Ontario, Canada.
b. Any disputes or claims arising out of or in connection with these Terms and Conditions shall be resolved through negotiation in good faith. If no resolution can be reached, the parties agree to submit to the exclusive jurisdiction of the courts located in the province of Ontario.
